Subject to Parts 1 to 5, the rights and duties of the partners in a limited liability partnership shall, as between the partners, be determined by the partnership agreement.
Nothing in the partnership agreement may deprive the partners of the benefit of section 7(1).
Subsection (2) shall not be constr ued as limiting the ability of the partners in a limited liability partnership, as between the partners, to indemnify any of the partners or any former partner in respect of any debt or loss.
