Where a body corporate commits an offence under this Law, every director or other officer concerned in the management of the body corporate commits that offence unless the director, officer or employee proves that the offence was committed without his consent or connivance or that he exercised reasonable diligence to prevent the commission of the offence.
In subsection (1), “director” in relation to a body corporate whose affairs are managed by its members, means a member of the body corporate.
