A company registered under the Companies Law (2020 Revision) or friendly society registered under the Friendly Societies Law (1998 Revision) may, by special resolution, determine to convert itself into a registered society.
Any such resolution for conversion into a registered society shall appoint ten persons, members of a company or friendly society, as the case may be, who, together with the secretary, shall sign the rules and who may, by the resolution, be given such powers to act on behalf of the company or friendly society as may be specified in such resolution.
A copy of the special resolution, together with three copies of the rules, shall be sent to the Registrar, who shall thereupon proceed as provided in this Law upon an application for registration.
