Number and approval of directors

The holder of a companies management licence which is a company shall at no time have fewer than two directors.
No appointments —
to the board of directors; or
of a senior officer of a licensee which is a company,
shall be made without the prior written approval of the Authority, or, in the case of the holder of a corporate services licence, without giving one month’s prior notice to the Authority.
A licensee shall remove or replace a director, or dismiss a senior officer, who is convicted in any country of an offence involving dishonesty within fourteen days of the conviction.
The Authority may require any licensee which is a company to remove any director or senior officer.
