Meetings and decisions of the Council

The chairperson shall summon regular meetings of the Council as often as may be required, but not less frequently than once in three months, and shall summon extraordinary meetings when required to do so in accordance with rules made under section 22.
At a meeting of the Council, the chairperson of the Council or, if the chairperson is not present, the member selected by the members present to act as temporary chairperson shall preside at the meeting.
At every meeting of the Council, a quorum shall consist of five members, and decisions shall be adopted by a simple majority of the votes of the members present and voting.
The Council may act notwithstanding that a vacancy exists among the appointed members and shall have power to —
act by sub-committee;
delegate any of its duties and powers from time to time to such sub-committees and to any of their members and to the staff and agents of the Commission.
A delegation under subsection (4)(a) or (b) is revocable at will and does not prevent the exercise by the Council of any duties or powers so delegated.
For the purposes of this Act, a member shall be deemed to be present at a meeting of the Council if the member has access to the meeting by conference telephone or by some other conference facility.
The chairperson shall call an extraordinary meeting of the Council, if requested to do so in writing by three members, and such request shall include a statement of the agenda proposed for the meeting.
Subject to this Act, the Council may regulate its own procedure.
The Council may invite anyone, including members of the Parliament who are not members of the Council, public officers or any member of the public to attend any meeting of the Council and to participate in such meeting or to provide information to the Council on any of the functions of the Council as set out in section 4(1).
