Offences by corporations

Where a body corporate is found guilty of an offence under this Law, every director or other officer concerned in the management of the body corporate is guilty of that offence unless the director or other officer proves that the offence was committed without the consent or connivance of that director or other officer or that the director or other officer exercised reasonable diligence to prevent the commission of the offence.
In subsection (1), "director", in relation to a body corporate whose affairs are managed by its members, means a member of the body corporate.
