Subject to the memorandum and articles of association of the company, a meeting of —
members;
a class of members;
the board of directors; or
any committee of the directors, may be validly convened and business co nducted, as provided by the articles of association, with only one such member or director being present in person or otherwise as may be provided by the articles of association. Provisions for Protection of Members
